1. Service description

ClearAgent provides a compliance screening API for AI agent-initiated payments. The service screens counterparty names and wallet addresses against the OFAC SDN list, enforces spend policies, and generates audit records. ClearAgent is a software tool — it is not a licensed financial institution, money transmitter, broker-dealer, or investment adviser.

2. Not legal advice

ClearAgent does not provide legal, tax, or compliance advice. Screening results are informational and should be evaluated by qualified compliance personnel within your institution. The institution retains full responsibility for its BSA/AML program, OFAC compliance, and regulatory obligations.

3. OFAC data source

ClearAgent screens against OFAC SDN data sourced from the US Treasury, synced nightly. While we make commercially reasonable efforts to keep the data current (within 24 hours of Treasury publication), we do not guarantee real-time accuracy. You should not rely on ClearAgent as your sole OFAC screening mechanism if your regulatory framework requires real-time SDN updates.

4. No custody of funds

ClearAgent never holds, moves, custodies, or has access to any funds, tokens, or financial instruments. It is a compliance attestation layer that sits between your payment system and the settlement rail. ClearAgent has no ability to execute, approve, or block actual fund transfers — it returns a verdict that your system acts on.

5. Availability

ClearAgent runs on Cloudflare's global edge network. We target high availability but do not guarantee uptime. If the API is unreachable, your system should treat the non-response as an UNKNOWN verdict and hold the transaction until a screen call succeeds.

6. Data retention

Audit records are available via API for 90 days. You are responsible for exporting and retaining records to meet your institution's BSA 5-year recordkeeping requirements. See our Privacy Policy for full details.

7. Billing

Billing is handled through Stripe. Subscriptions are month-to-month with no lock-in. You may cancel at any time through the Stripe billing portal; access continues through the end of the paid period. Refunds are handled on a case-by-case basis — contact jake@clearagent.dev.

8. Limitation of liability

ClearAgent's liability is limited to the fees paid in the 12 months preceding any claim. ClearAgent is not liable for any regulatory penalties, fines, enforcement actions, or losses resulting from reliance on screening results. The institution integrating ClearAgent retains full regulatory responsibility.

9. Changes

We may update these terms. Material changes will be communicated via the email address on file. Continued use of the API after notice constitutes acceptance.
